Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ReviewWheel LLC, a Georgia limited liability company ("ReviewWheel," "we," "us," or "our"), governing your access to and use of the Services (as defined in Section 2).

By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and authority

The Services are offered only to businesses located in the United States. By using the Services you represent that: (a) you are at least 18 years old; (b) you are using the Services for business, not personal/household, purposes; (c) your business is located and operates in the United States; and (d) if you accept on behalf of an organization, you have authority to bind that organization to these Terms ("you" then refers to that organization). The Services are not directed to, and may not be used by, consumers or children.

2. Definitions

  • "Customer": the business that subscribes to or activates the Services.
  • "Consumer": an individual end-customer of the Customer (e.g., a person who hired the Customer) to whom review requests are sent.
  • "Customer Data": information the Customer provides or makes available through the Services, including Consumer contact lists and the Customer's business information.
  • "Services": the ReviewWheel review-automation platform and all related ReviewWheel websites, signup flow, applications, and features, including review-request automation (SMS and email), the personalized-image feature, AI-assisted messaging and review replies, CRM integrations, and the review widget. (The Review Card product is not yet launched and is not covered by these Terms; Card-specific terms will be added when it launches.)

3. The Services

ReviewWheel helps Customers request Google reviews from their own past and present Consumers by automated SMS/email review requests (including a personalized image), customer-list reactivation, post-job triggers via CRM integration, AI-assisted messaging, automated AI replies to Google reviews, and related features. Features included at each subscription tier are described at reviewwheel.com/pricing. We may add, modify, or remove features over time (Section 14).

4. Accounts and registration

You must provide accurate, complete information at signup and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Signup is restricted to US-based businesses; the registration flow does not accept non-US phone numbers or addresses. Notify us promptly at [email protected] of any unauthorized use.

5. Trials, fees, billing, and refunds

5.1 Free trial

New SaaS subscriptions include a 10-day free trial. A payment method is collected at signup but not charged during the trial. You may cancel at any time during the trial at no charge. If you do not cancel, your payment method is charged on day 11 at your selected plan rate, and your subscription begins.

5.2 Guarantees

This section carries the guarantees for both offers. The performance-based money-back guarantee below covers a SaaS subscription started on the 10-day free trial. The 14-Day Satisfaction Guarantee and the 7-Day Delivery Guarantee below cover a Fast Lane Bundle purchase. Neither offer's guarantees apply to the other offer.

SaaS subscriptions (10-day free trial). A performance-based money-back guarantee applies to your first paid month: ReviewWheel will facilitate the generation of at least one new review for your business through the Services during your risk-free period, approximately the first 40 days from signup, spanning the 10-day trial and the 30-day guarantee window. If it does not, you may request a refund within the 30 days following your first charge per the Refund Policy and we will refund your first month's subscription fee. If ReviewWheel facilitates at least one new review during that period, the guarantee is satisfied.

Fast Lane Bundle (14-Day Satisfaction Guarantee). The Fast Lane Bundle is a separate offer. It includes no free trial and your payment method is charged when you purchase. It carries its own guarantee instead: if you are not satisfied, request a refund any time through the 14th day after your purchase per the Refund Policy and we will refund everything you have paid for the bundle in full. You do not have to show that any particular result was or was not delivered.

A separate 7-Day Delivery Guarantee also applies to the Fast Lane Bundle: complete the setup steps we ask you for, and if we do not have your bundle live within 7 days of your purchase, your first month is free. The two Fast Lane windows both start on the day you purchase and run at the same time. They do not stack. The 10-day free trial (§5.1) and the performance-based money-back guarantee above do not apply to the Fast Lane Bundle, and the 14-Day Satisfaction Guarantee does not apply to a SaaS subscription.

5.3 Subscriptions and renewal

Subscriptions are billed in advance on a recurring monthly or annual basis and automatically renew until cancelled. Annual plans are offered at a discount equivalent to two months free. You authorize us (and our payment processor, Stripe) to charge your payment method for all applicable fees.

5.4 Cancellation

You may cancel at any time from your account dashboard. Cancellation stops future renewals; it does not retroactively refund the current period except as provided by the money-back guarantee (§5.2) or the Refund Policy.

Initial reactivation. Initial reactivation includes up to 2,000 contacts per location. It is free and does not count against the monthly limit. The campaign does not include contacts above the 2,000-contact cap.

5.5 Taxes

Fees are exclusive of taxes. You are responsible for applicable sales, use, and similar taxes, which are calculated and collected automatically via Stripe Tax and added to your charges where required.

5.6 Failed payments

If a charge fails, we may retry, suspend, or downgrade the Services until payment is resolved.

5.7 Referral credits

ReviewWheel may offer a referral program under which an existing Customer who refers a new Customer (the "referrer"), and the new Customer who is referred (the "referred account"), each receive a $100 account credit. Referral credits are account credits applied toward future ReviewWheel charges; they are not cash and are not redeemable or refundable for cash.

When credit is earned. A referral credit is granted only after the referred account's first paid month has matured, that is, after the 30-day money-back guarantee window on that first paid month has closed (approximately 30 days after the first successful subscription charge, which itself follows the 10-day free trial; see §5.1 and §5.2). No referral credit is granted before that point.

When no credit is granted. If, before the referred account's first paid month matures, the referred account cancels, or its first paid month is refunded in whole or in part under the money-back guarantee (§5.2) or the Refund Policy, no referral credit is granted to either the referrer or the referred account.

Referral credits are void where the referral is fraudulent, self-referred, or otherwise obtained in violation of these Terms or the Acceptable Use Policy (§6). We may modify, suspend, or discontinue the referral program, and may withhold or reverse credits obtained through abuse, at any time.

6. Acceptable use

You agree not to use the Services to: violate any law or third-party right; send messages to anyone who does not have the requisite relationship or consent (Section 7); upload purchased, rented, scraped, or otherwise non-consented contact lists; send spam or content that is unlawful, harassing, deceptive, or harmful; solicit, incentivize, gate, or fabricate reviews in violation of Google's policies (e.g., review-gating, fake reviews, or filtering negative reviews); reverse-engineer, scrape, or disrupt the Services; resell or provide the Services to third parties except your own use; or circumvent usage limits or security. See also the Acceptable Use Policy. Violations may result in suspension or termination (Section 13).

Review authenticity. ReviewWheel facilitates requests to real Consumers for honest reviews. It does not create fake reviews, and it must not be used to suppress or gate negative reviews. Doing so violates Google's policies and can result in the loss of the Customer's Google Business Profile.

7. Messaging compliance and your warranties

This Section is central to your use of the Services. You acknowledge that review requests are sent on your behalf to your own Consumers, and that you, not ReviewWheel, are responsible for the lawful basis to contact them.

Authorization to send on your behalf. You appoint ReviewWheel as your authorized agent and representative to send review-request messages (SMS and email) to your own Consumers on your behalf, using ReviewWheel's messaging infrastructure and carrier-registered messaging program, and you authorize ReviewWheel to identify your business as the originating sender in those messages. This authorization is limited to the review-request purpose described in these Terms and continues until you stop using the Services or revoke it in writing.

You represent and warrant, for every contact you upload, connect, or cause to be messaged, that:

  • the contact is your own past or present customer with whom you have an established business relationship;
  • you have the right and any legally required consent to send SMS and/or email to that contact, in compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, US A2P 10DLC carrier requirements, and other applicable US law;
  • the contact information was collected by you in the ordinary course of business and not purchased, rented, scraped, or harvested; and
  • you will promptly honor and not override opt-outs.

ReviewWheel provides STOP-based opt-out handling and reasonable compliance tooling, but you remain responsible for your messaging program's legality.

8. Google and third-party services

The Services integrate with Google Business Profile and other third-party services (e.g., CRMs, Stripe). You authorize ReviewWheel to access your Google Business Profile via OAuth to route review requests and to post review replies on your behalf, as described in the Privacy Policy §4. Your use of those third-party services is subject to their terms. We are not responsible for third-party services, and your authorization can be revoked at any time (which may limit the Services).

9. Customer Data and privacy

As between the parties, you own your Customer Data. You grant ReviewWheel a non-exclusive license to host, process, and transmit your account and business data to provide and improve the Services and as described in the Privacy Policy. With respect to Consumer personal information specifically, ReviewWheel processes it only to provide the Services on your behalf, as your processor/service provider under the Data Processing Agreement (incorporated by reference), not to improve the Services. You are the controller of Consumer personal information; ReviewWheel acts on your documented instructions. You are responsible for the accuracy and lawfulness of all Customer Data.

10. Intellectual property and feedback

ReviewWheel and its licensors own all rights in the Services, including software, designs, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription. You retain ownership of Customer Data. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use it without obligation.

11. No guarantee of results; disclaimers

Except for the guarantees in §5.2, ReviewWheel does not guarantee any specific number of reviews, ranking improvement, call volume, revenue, or other outcome. The §5.2 performance-based guarantee is limited to facilitating at least one new review during the risk-free period (refund being the sole remedy if it is not met); it is not a guarantee of any particular volume of reviews or of any ranking, traffic, or revenue result. Apart from the guarantees in §5.2, any figures, benchmarks, or examples in our marketing (e.g., review counts or timeframes) are illustrative of what is possible in the category and are not promises; actual results depend on factors outside our control, including your contact list, your trade, your responsiveness, and Google's systems and policies. If ReviewWheel does not facilitate at least one new review for your business during your risk-free period (approximately the first 40 days from signup), the guarantee (§5.2) lets you recover your first month's subscription fee, claimable within the 30 days following your first charge. Once the guarantee has been satisfied, or outside that claim window, your rights and remedies are as otherwise provided in these Terms, including the limitations in Section 12.

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND REVIEWWHEEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWWHEEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. REVIEWWHEEL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO REVIEWWHEEL IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless ReviewWheel from any claims, damages, and costs (including reasonable attorneys' fees) arising from: (a) your Customer Data; (b) your messaging program, contact lists, or violation of TCPA/CAN-SPAM/A2P or other law; (c) your violation of these Terms, the Acceptable Use Policy, or Google's policies; or (d) your violation of any third-party right. This reflects that you control the lawfulness of who is contacted and how.

14. Suspension, termination, and changes to the Services

We may suspend or terminate your access for violation of these Terms, non-payment, legal risk, or abuse. You may terminate by cancelling. On termination, your right to use the Services ends; we will handle Customer Data per the Privacy Policy (§7) and the Data Processing Agreement, including deletion of Consumer contact lists after the post-cancellation grace period and deletion or de-identification of account data after the applicable retention window. We may modify or discontinue features of the Services with reasonable notice where practicable.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice. Continued use after the effective date constitutes acceptance.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Georgia (the formation state of ReviewWheel LLC), without regard to conflict-of-laws rules.

Dispute resolution. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, administered in the State of Georgia. You and ReviewWheel waive any right to a jury trial and to participate in a class, collective, or representative action. Either party may instead bring a qualifying claim in small-claims court. You may opt out of arbitration by notifying us at [email protected] within 30 days of first accepting these Terms.

Fees. In any such proceeding, the prevailing party is entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, to the extent permitted by applicable law.

17. Miscellaneous

These Terms (with the Privacy Policy, DPA, Acceptable Use Policy, and Refund Policy) are the entire agreement between you and ReviewWheel regarding the Services. If any provision is unenforceable, the rest remains in effect. We may assign these Terms (e.g., in connection with a corporate reorganization); you may not assign without our consent. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures due to causes beyond our reasonable control. Notices to you may be sent to your account email; notices to us go to [email protected].

18. Marketing, customer references, and your results

18.1 "Just," "recently," and similar timing words

Where our marketing describes a purchase as having "just" happened, or as "recent" or "recently," including the rotating purchase notifications shown on our websites, that language means within the last 12 months. We use a 12-month window because that is a fair span for a business purchase decision. Those notifications reflect real ReviewWheel customers; we do not display invented, sample, or placeholder customers.

18.2 Marketing license: your results, name, and logo

By purchasing ReviewWheel's Services, you grant ReviewWheel a worldwide, non-exclusive, royalty-free license to use your results, your name and business name, and your logo and trademarks in ReviewWheel's honest business activity and marketing. This includes our websites, advertising, sales and partner materials, social media, case studies and testimonials, customer lists, and the rotating purchase notifications shown on our sites. This license continues after your subscription ends and remains in effect until you revoke it under § 18.3.

Honest use only. We will describe your results truthfully and in context. We will not fabricate results, invent quotes, or materially alter your results, your identity, or your logo. We do not publish your contact information, such as your email address, phone number, or street address, under this license.

18.3 Opting out by written letter

An opt-out request must be made by written letter. To revoke the license in § 18.2, send a signed letter by mail to:

Email, chat, and phone requests do not opt you out. This is an exception to the notice provision in § 17. For this one purpose, and only this one, a mailed letter is the sole effective method of notice. We will act on a valid written request within 30 days of receiving it and stop new marketing use of your results, name, and logo. Materials already printed, published, distributed, or placed with third parties before we act on your request may remain in circulation.

Separately, and without any request from you, we remove customers from the purchase notifications automatically when a subscription ends, and we exclude any account with a pending refund or payment dispute.
